Position Details: This is a true legal professional generalist role, where the successful candidate would be primarily responsible to assist with a wide variety legal matter, including management of corporate business registrations, licenses and annual returns. Key duties include dealing with corporate filings, preparing legal drafts for contract extensions/renewals and terminations, maintaining corporate minute books, and providing legal and administrative support in respect of vicarious liability litigation and small claims court appearances and pleadings. Further duties involving consumer protection and secured lending as they may arise.
Duties and Responsibilities:
- Prepare and submit corporate filings for HCCA and its subsidiaries (annual filings, officer and director changes) and track dates
- Prepare basic legal drafts by assembling and organizing information for legal documents under the supervision
- Keep Contract Management system up-to-date and accurate at all times
- Review and update corporate minute books for HCCA and its subsidiaries and rectify deficiencies
- Provide legal and administrative support in litigation matters
- Assist with tracking legal budget (i.e. process incoming bills and invoices)
- Perform all other related duties as assigned (legal research and drafting)
Qualifications
- Minimum 3 to 7 years of experience working for a law firm, in-house or financial institution
- Experience maintaining corporate records including but not limited to corporate minute books, extra provincial registrations, annual returns and extra provincial licenses
- Experience in legal research, writing and contract drafting
- Experience with vendor management and compliance risk assessments of vendors
- Experience with privacy law
- Comfortable managing and coordinating litigation with external legal counsel
- Paralegal Diploma
- Licensed by the Law Society of Ontario
- Knowledge of the Canada Business Corporations Act and Consumer Protection Acts
- Knowledge and experience in Personal Property Security Act registrations, amendments and discharges
- Excellent Microsoft Office (Excel, PowerPoint, Word) Legal Tracker or similar and Vendor Risk or similar skills
- Excellent analytical, interpretive and research skills
- Excellent interpersonal and communication skills
- Exceptional attention to detail
- Sound practical judgment in assisting colleagues
- Willingness to learn and become familiar with legal concepts applicable to the auto finance industry
- Ability to work effectively both independently and as a part of a team
- Demonstrated organizational skills and ability to manage competing priorities in a fast-paced environment
- Superior English vocabulary, spelling and grammar
- Bilingualism (French) is an asset, but not required
- Bilingualism (Korean) is an asset, but not required
